Seller Terms & Conditions

For TIVSA BLACKS AND WHITE PRIVATE LIMITED (“Blacksandwhite”)

1. Introduction

These Terms and Conditions (“Terms”) govern the relationship between Blacksandwhite, owned and operated by TIVSA BLACKS AND WHITE PRIVATE LIMITED, and all sellers (“Seller”) who wish to list, market, and sell products through the platform www.blacksandwhite.com.

By applying as a Seller and listing products, you agree to abide by these Terms, our Privacy Policy, and all applicable laws.

2. Eligibility

Sellers must hold a valid GST Registration (if applicable), PAN, and Bank Account in India.

Sellers must be legally capable of entering into binding contracts.

Blacksandwhite reserves the right to reject any application at its sole discretion.

3. Seller Registration

Sellers must provide accurate and updated details including business name, GST number, PAN, contact details, and bank account details.

Any misrepresentation of information may result in suspension or termination.

4. Product Listing Rules

Only products available in black or white color (as per the brand’s USP) can be listed.

Sellers must ensure that product descriptions, images, and pricing are accurate.

Prohibited products (counterfeit, illegal, restricted under law) are strictly not allowed.

5. Pricing & Fees

Sellers are free to determine product prices, subject to market standards and legal compliance.

Blacksandwhite charges a commission of 5% per successful order (or as mutually agreed).

No hidden charges are imposed; fees will be transparently communicated.

6. Order Fulfilment & Shipping

Sellers are responsible for proper packaging and timely dispatch of orders.

In case of delay or non-fulfilment, Blacksandwhite reserves the right to refund customers and recover the amount from the Seller.

Logistics may be handled by Seller or Blacksandwhite’s partner (if opted).

7. Taxes & Compliance

Sellers are solely responsible for collection and payment of applicable taxes, including GST.

Blacksandwhite will generate tax invoices to customers on behalf of sellers where required.

GST details of Sellers must be accurate and updated.

8. Payments

Payments will be settled to the Seller’s registered bank account after deducting commission and applicable charges.

Standard settlement cycle: 7–15 business days from successful delivery.

9. Intellectual Property

Sellers shall not list products that infringe third-party copyrights, trademarks, or patents.

Blacksandwhite reserves the right to remove infringing listings without prior notice.

10. Returns, Refunds & Customer Service

Sellers must adhere to the platform’s return and refund policy.

Products that are defective, damaged, or not as described must be replaced/refunded at the Seller’s cost.

Sellers are expected to respond to customer issues promptly.

11. Termination

Either party may terminate this agreement with 15 days’ written notice.

Blacksandwhite reserves the right to suspend or terminate a Seller account for breach of Terms, fraud, or customer complaints.

12. Limitation of Liability

Blacksandwhite is only a marketplace and does not assume liability for product quality, safety, legality, or compliance.

Sellers are solely responsible for the products they list and sell.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Maharashtra, India.
